1. Agreement

By using our services or authorizing us to access your advertising accounts, you agree to these Terms. If acting on behalf of a business, you represent you have authority to bind that entity.

2. Services

We provide advertising management and related services as described in your separate service agreement. These Terms govern your use of our application and platforms.

3. Meta Platform

Services involving Meta platforms are subject to Meta's Platform Terms, Advertising Policies, and Business Tools Terms. You are responsible for compliance with Meta's policies. We are not affiliated with Meta Platforms, Inc.

4. Your Responsibilities

• Provide accurate information
• Maintain security of your credentials
• Ensure you have authorization to grant access to advertising accounts
• Comply with all applicable laws and platform policies

5. Intellectual Property

All proprietary systems, methodologies, analytical frameworks, optimization processes, automation workflows, data models, templates, dashboards, tools, and documentation developed or used by Legion Media Global INC in the delivery of services are and remain the exclusive property of Legion Media Global INC.

You retain ownership of your advertising accounts and the assets within them, your contact and lead data, your creative assets provided to us, and your business-specific content.

Upon termination: you retain your advertising accounts and may export your contact data within 30 days of request. We remove our systems and infrastructure from your accounts. No proprietary systems, methodologies, tools, frameworks, or internal data are transferred to you under any circumstance.

You may not reverse engineer, decompile, replicate, or reconstruct any proprietary systems, methods, or tools used by Legion Media Global INC. You may not engage third parties to do so based on any information obtained during the service relationship. Violation constitutes material breach and may result in immediate termination and pursuit of legal remedies including injunctive relief.

6. Payment

• Accepted methods: wire transfer, Zelle, CashApp, approved cryptocurrency
• Credit/debit cards are not accepted for service fees
• Setup fees due before work begins
• Monthly fees due on the 1st
• Late payments (15+ days): service suspension
• Late payments (30+ days): termination
• No refunds after service begins
• All fees in USD

7. Disclaimers

We do not guarantee specific results. Advertising performance is subject to market conditions, platform policies, and factors outside our control. We are not liable for account suspensions or restrictions imposed by Meta or any third party.

8. Limitation of Liability

Our total liability shall not exceed fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits.

9. Confidentiality

Both parties agree to keep confidential all proprietary information received from the other party. This obligation survives termination for 3 years.

10. Termination

Either party may terminate with 30 days written notice to hello@velazmedia.com. Upon termination: outstanding fees are due immediately, you may request data export within 30 days, we remove our systems from your accounts, portal access is revoked.

11. Governing Law

These Terms are governed by the laws of the State of Florida. Disputes shall be resolved through binding arbitration in Orange County, Florida. Each party bears its own costs. Class action waiver applies.
